Terms of Service

Review the terms and conditions for using MonAI's MonOS platform, including user responsibilities, service availability, and legal agreements.

Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and MonAI LTD, a limited company registered in England & Wales under company number 15691996, with registered office at Office 16292, 182-184 High Street North, East Ham, London, United Kingdom, E6 2JA ("Company," "we," "us," or "our") regarding your use of the MonOS platform and related services (collectively, the "Service").

By accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. These Terms apply to all users, including but not limited to businesses, individual contractors, and end users. If you are accepting these Terms on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity. If you disagree with any part of these terms, you may not access the Service. Your continued use of the Service constitutes acceptance of these Terms and any modifications thereto.

Description of Service

MonOS is an AI-powered intelligent automation platform designed to enable businesses to deploy and manage artificial intelligence assistants across their operations. Our Service includes:

  • AI Assistants: Intelligent autonomous agents capable of understanding, processing, and executing business tasks across supported applications and workflows
  • Integration Platform: Secure, pre-built, and custom connections to third-party business applications, SaaS platforms, and on-premises systems
  • Workflow Automation: Visual workflow design, automation orchestration, process optimization, and business process management capabilities
  • Analytics Dashboard: Comprehensive performance monitoring, usage analytics, execution reporting, and actionable insights
  • API Access: RESTful and webhook-based programmatic interfaces for direct platform access and third-party integration
  • Support Services: Technical support, onboarding assistance, documentation, and platform maintenance assistance

The Service is provided on a subscription basis with varying feature tiers and usage quotas depending on your selected plan. The Service is intended for business use only and does not include consumer or personal use rights.

User Accounts and Registration

Account Creation

To access certain features of the Service, you must create an account by providing:

  • Accurate, complete, and current registration information
  • Valid business email address (personal email addresses may be restricted)
  • Strong password meeting our security requirements (minimum 12 characters, mixed case, numbers, and special characters)
  • Explicit acceptance of these Terms and our Privacy Policy
  • Two-factor authentication setup if required by your subscription tier

You represent and warrant that all information provided is true, accurate, and complete, and that you have the legal right to enter into this agreement.

Account Responsibilities

You are responsible for:

  • Maintaining the absolute confidentiality of your account credentials, including passwords and API keys
  • All activities and actions that occur under your account, whether authorized or unauthorized
  • Notifying us immediately and in writing of any unauthorized access, use, or suspected security breach
  • Providing accurate, current, and complete account information and updating it promptly
  • Complying with all applicable laws, regulations, and these Terms
  • Implementing appropriate security measures on your systems that interface with the Service
  • Monitoring your account for suspicious activity and unusual access patterns

You acknowledge that you are solely liable for all activity under your account, even if such activity was not authorized by you.

Account Termination

We reserve the right to suspend, disable, or terminate accounts that:

  • Violate these Terms or our policies in material ways
  • Engage in fraudulent, deceptive, or harmful activities
  • Pose security risks to the platform, other users, or third parties
  • Remain inactive for more than 180 consecutive days
  • Transmit illegal content or malicious code
  • Violate applicable law or engage in illegal activities
  • Fail to pay subscription fees within 30 days of invoice

Account suspension or termination may be immediate and without prior notice in cases involving security threats, illegal activity, or fraud. Upon termination, your access will cease, but your payment obligations remain in effect.

Acceptable Use Policy

Permitted Uses

You may use the Service to:

  • Automate legitimate business processes within your organization
  • Integrate with approved and compatible third-party applications through our documented integration channels
  • Access, process, and analyze your own business data and authorized third-party data
  • Collaborate securely with authorized team members and stakeholders
  • Develop, test, and deploy custom workflows, automations, and integrations in compliance with our API documentation
  • Use the platform in accordance with applicable law and industry regulations

Prohibited Activities

You may not use the Service to, and you agree not to:

  • Use the Service for any illegal, unlawful, fraudulent, or deceptive purposes or in violation of any applicable law or regulation
  • Attempt to gain unauthorized access to the platform, user accounts, data, or systems through hacking, password cracking, buffer overflows, or other technical exploits
  • Reverse engineer, decompile, disassemble, decrypt, or attempt to extract or derive the source code, algorithms, trade secrets, or intellectual property of the platform
  • Transmit, upload, or distribute viruses, worms, malware, trojans, ransomware, or other malicious code or harmful materials
  • Violate, infringe, or misappropriate any intellectual property rights of MonAI, users, or third parties
  • Harass, abuse, threaten, defame, or harm other users, employees, or representatives
  • Use the Service to send spam, phishing emails, unsolicited communications, or bulk commercial messages
  • Interfere with, disrupt, compromise, or disable the Service, platform infrastructure, or servers
  • Engage in denial-of-service (DoS) attacks, resource exhaustion, or other malicious acts
  • Engage in competitive intelligence gathering or reverse engineering of the platform
  • Use the Service for cryptocurrency mining or other resource-intensive purposes without prior written consent
  • Lease, resell, or sublicense access to the Service without express written authorization
  • Remove, obscure, or alter any proprietary notices, labels, or warnings in the Service

Content Standards

All content, data, and materials you submit, process, or store through the Service must:

  • Comply with all applicable international, national, and local laws and regulations
  • Respect and not infringe upon the intellectual property rights, privacy rights, or other rights of any third party
  • Be free from viruses, malware, malicious code, or security vulnerabilities
  • Not contain confidential information, trade secrets, or proprietary data belonging to third parties without their explicit prior written consent
  • Adhere to professional, ethical, and industry standards
  • Not constitute or promote illegal activities, harassment, discrimination, hate speech, or violence
  • Not violate our or any third party's terms of service or acceptable use policies

We may monitor your use of the Service to ensure compliance with this policy. Violation of the Acceptable Use Policy may result in immediate suspension or termination of your account without refund.

Intellectual Property Rights

Our Rights and Ownership

MonAI and MonOS are trademarks, service marks, and registered trademarks of MonAI LTD in the United Kingdom and other countries. The Service and all underlying software, code, algorithms, databases, visual designs, graphics, interfaces, functionality, content, and features are owned by MonAI LTD or our licensors and are protected by UK and international copyright, trademark, patent, trade secret, and other intellectual property laws. All rights not expressly granted are reserved.

Licensed Use Grant

Subject to your full compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Service solely for your intended authorized business purposes
  • Use our published APIs in accordance with our comprehensive API documentation, terms, and rate limits
  • Create derivative works and custom workflows based solely on your own data, configurations, and business requirements
  • Display and execute the Service on devices authorized by your subscription

This license does not grant you rights to modify, adapt, translate, or create derivative works of the Service itself or its underlying software.

Your Content Rights and Restrictions

You retain ownership of all original content you submit, upload, create, or input into the Service ("User Content"), subject to the rights you grant to us herein. By submitting User Content to the Service, you grant MonAI LTD a worldwide, non-exclusive, royalty-free, perpetual, and irrevocable license to:

  • Use, copy, distribute, store, transmit, and process your User Content to provide and improve the Service
  • Create backups, redundant copies, and archives for security, disaster recovery, and reliability purposes
  • Analyze aggregated and anonymized usage patterns, metadata, and insights to optimize platform performance and feature development
  • Display your User Content within the platform interface to authorized users and members of your organization

You retain all rights to your User Content and may request its deletion in accordance with our deletion procedures. We are not responsible for loss of User Content, which is your sole responsibility to back up separately.

Third-Party Content and Services

The Service may integrate with or display content, data, services, and materials from third parties and external sources. All third-party content remains the exclusive property of its respective owners and is subject to their terms, conditions, and intellectual property rights. We are not responsible for third-party content and make no representations or warranties regarding its accuracy, legality, or quality.

Feedback and Suggestions

Any feedback, suggestions, ideas, improvements, or comments you provide regarding the Service ("Feedback") may be used by MonAI LTD without restriction, attribution, or compensation. By providing Feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use it.

Data Privacy and Security

Data Protection and Confidentiality

We implement industry-leading administrative, technical, and physical security measures appropriate to the sensitivity of your data, consistent with UK and EU data protection standards:

  • Encryption: End-to-end encryption in transit (TLS 1.2 or higher) and at rest using AES-256 or equivalent
  • Access Controls: Multi-factor authentication, role-based access control (RBAC), and principle of least privilege
  • Monitoring: 24/7 security monitoring, intrusion detection systems, and threat analytics
  • Regular Assessments: Quarterly security audits, annual penetration testing, and vulnerability assessments
  • Incident Response: Documented incident response procedures, forensic capabilities, and GDPR-compliant breach notification procedures
  • Compliance: Alignment with ISO 27001, SOC 2 Type II, and industry-specific compliance frameworks

However, no security measures are 100% effective. We cannot guarantee absolute security or that unauthorized access will never occur.

Data Processing and Lawful Basis

By using the Service, you acknowledge and consent that we may:

  • Process and analyze your data to provide, maintain, improve, and develop the Service and new features
  • Store your data on secure servers located in the UK or European Economic Area (EEA) unless otherwise specified in your contract
  • Transfer data across jurisdictions as necessary for service delivery, always subject to appropriate data transfer mechanisms
  • Share data with authorized third-party service providers (processors) under binding data processing agreements
  • Use aggregated, anonymized, and de-identified data for analytics, benchmarking, and product improvement without restriction
  • Retain data as necessary to provide the Service, comply with legal obligations, or resolve disputes

Data Ownership and Rights

You retain all ownership rights to your business data and confidential information. We do not claim ownership of, assert rights over, or use your data for any purpose outside of providing the Service, except as explicitly outlined in our Privacy Policy or your written agreement. Your data will not be used for training AI models or sold to third parties without your explicit written consent.

Data Backup and Recovery

While we implement backup and disaster recovery procedures, you acknowledge and agree that:

  • You are solely responsible for maintaining independent copies of critical business data
  • You should implement and regularly test data recovery and business continuity procedures
  • Recovery times may vary depending on incident severity and scope
  • We are not liable for data loss resulting from your failure to maintain backups
  • Backup and recovery services may have limitations and be subject to additional fees

Data Deletion and Retention

Upon account termination or at your request, we will delete or securely destroy your User Content within 90 days, except where we are required to retain data by law, regulation, or legal process. Some data may be retained in anonymized or aggregated form.

Service Availability and Performance

Service Level Objectives (SLO)

We strive to maintain high availability and reliability standards for the Service:

  • Uptime Target: 99.9% uptime measured monthly (excluding scheduled maintenance and force majeure events)
  • Maintenance Windows: Planned maintenance will be announced with at least 7 days' notice, typically scheduled outside business hours
  • Response Times: Typical API response times under 500ms under normal conditions; actual performance depends on system load and network conditions
  • Support: Technical support available during business hours (Monday-Friday, 9 AM - 5 PM GMT)

SLO is measured on a monthly basis. Extended downtime may qualify for service credits as outlined in your service agreement, which represent your sole remedy for unavailability.

Maintenance and Service Updates

We reserve the right to, and you acknowledge that we may:

  • Perform scheduled maintenance and system updates with advance notice when feasible
  • Deploy security patches, bug fixes, and feature enhancements without prior notice if urgent or for security purposes
  • Make emergency changes to address security vulnerabilities, system instability, or threats to platform integrity or user safety
  • Modify, upgrade, or discontinue Service features with 30 days' advance notice (except for critical security updates which may be immediate)
  • Change API endpoints, functionality, or parameters with compatibility considerations when possible

Service Limitations and Restrictions

The Service has the following limitations and restrictions that you acknowledge and accept:

  • Usage Quotas: API call limits, data storage limits, and processing quotas according to your subscription tier
  • Concurrent Connections: Simultaneous user and API session limits as specified in your service plan
  • Processing Constraints: Maximum workflow execution time, file size limits, and data processing parameters
  • Rate Limiting: Request rate limits to maintain platform stability and fair resource allocation
  • Geographic Restrictions: Service may not be available in certain jurisdictions due to legal or compliance requirements
  • Integration Compatibility: Not all third-party applications or systems may be compatible with the Service
  • Service Features: Beta features, experimental capabilities, and developmental APIs are provided "as-is" without warranty

Exceeding usage quotas may result in automatic throttling, suspension of service, or additional fees.

Payment and Billing

Subscription Plans and Pricing

We offer various subscription plans with different features, capabilities, functionalities, and pricing tiers. Current pricing and plan details are available on our website and in your account dashboard. We reserve the right to modify pricing, features, and plan offerings with 30 days' advance written notice to existing customers.

Payment Terms and Conditions

  • Billing Cycle: Subscriptions are billed in advance at the beginning of each billing period (monthly or annually, as selected)
  • Payment Due: Full payment is due within 30 days of invoice date unless otherwise specified in your written agreement
  • Payment Method: Payments must be made via the payment methods we accept (credit card, bank transfer, or other methods we designate)
  • Late Payments: Failure to pay by the due date may result in suspension of your account and denial of access to the Service; interest on overdue amounts may apply at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower
  • Automatic Renewal: Subscriptions automatically renew for successive periods unless cancelled in writing at least 30 days before the renewal date
  • Non-Refundable: All subscription fees are non-refundable except as required by applicable law, consumer protection regulations, or as explicitly provided in our service level agreements

Price Changes and Modifications

  • We may increase subscription fees with 30 days' advance written notice to your registered email
  • Price increases do not apply to current billing periods
  • Your continued use of the Service after a price change constitutes acceptance of the new pricing
  • You may cancel your subscription before a price increase takes effect if you disagree with the new terms

Taxes, Duties, and Government Fees

You are solely responsible for determining and paying all applicable taxes, value-added taxes (VAT), sales taxes, use taxes, duties, and government fees related to your use of the Service. We are not responsible for calculating or paying taxes on your behalf, and you agree to indemnify us for any unpaid taxes or penalties. If you are required to withhold taxes on payments to us, you must provide appropriate tax documentation.

Disputed Charges

You must notify us of any disputed charges within 30 days of the invoice date. Charges not disputed within this period are deemed accepted. We will investigate legitimate disputes in good faith and may issue credits or refunds at our sole discretion.

Limitation of Liability

Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF:

  • MERCHANTABILITY, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT OF THIRD-PARTY RIGHTS, TITLE, OR QUIET ENJOYMENT
  • UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION
  • ACCURACY, COMPLETENESS, TIMELINESS, OR RELIABILITY OF CONTENT, FEATURES, OR FUNCTIONALITY
  • COMPATIBILITY WITH YOUR SYSTEMS OR APPLICATIONS
  • RESULTS OBTAINED FROM USE OF THE SERVICE

WE MAKE NO WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, OPERATE UNINTERRUPTED, BE SECURE, OR BE ERROR-FREE. YOU ASSUME ALL RESPONSIBILITY AND RISK FOR THE USE OF THE SERVICE AND THE RESULTS OBTAINED THEREFROM.

Assumption of Risk

You acknowledge and accept that:

  • Use of the Service involves inherent risks including but not limited to data loss, unauthorized access, system failures, and third-party interference
  • We are not liable for any consequences resulting from your use of the Service or reliance on its accuracy
  • The Service may be subject to delays, omissions, interruptions, and unavailability
  • You are solely responsible for implementing additional security measures and backups

Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MONAI LTD, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SERVICE PROVIDERS, OR AFFILIATES BE LIABLE FOR:

  • Indirect Damages: Indirect, incidental, consequential, special, exemplary, punitive, or remote damages
  • Economic Losses: Loss of profits, revenue, business opportunity, anticipated savings, or cost of cover
  • Data Losses: Loss, corruption, destruction, or unavailability of data, backups, or records
  • Business Interruption: Loss of business, downtime, or loss of use, regardless of cause
  • Third-Party Claims: Damages arising from third-party integrations, services, or actions
  • Security Events: Loss or damage resulting from security breaches, unauthorized access, or cyberattacks
  • User Actions: Damages resulting from your use, misuse, inability to use, or reliance on the Service

EVEN IF MONAI LTD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES.

Maximum Aggregate Liability

NOTWITHSTANDING ANY OTHER PROVISION OF THESE TERMS, OUR TOTAL LIABILITY, IN THE AGGREGATE, FOR ALL CLAIMS, DEMANDS, OR CAUSES OF ACTION ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU ACTUALLY PAID TO MONAI LTD IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) £100, EXCEPT FOR:

  • YOUR INDEMNIFICATION OBLIGATIONS
  • YOUR VIOLATION OF OUR INTELLECTUAL PROPERTY RIGHTS
  • CLAIMS THAT CANNOT BE LAWFULLY LIMITED UNDER APPLICABLE LAW
  • CLAIMS FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE

This limitation applies regardless of the form of action (contract, tort, strict liability, or otherwise) and even if any remedy fails its essential purpose.

Applicability of Limitations

If any provision of this limitation is found to be unenforceable, the remaining provisions shall apply to the maximum extent permitted by law. Some jurisdictions do not allow limitation of liability for certain types of damages, in which case some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend (at our option with counsel approved by us), and hold harmless MonAI LTD and its parent, subsidiary, and affiliate companies, as well as their respective officers, directors, employees, agents, successors, and assigns from and against any and all third-party claims, actions, damages, liabilities, settlements, costs, and expenses (including reasonable attorneys' fees, court costs, and settlement amounts) arising from, relating to, or in connection with:

  • Your use of the Service or access to our platform
  • Your violation or breach of these Terms or applicable law
  • Your infringement or violation of any third-party intellectual property, privacy, property, or other rights
  • Your User Content, data, or business activities
  • Your representations and warranties
  • Any allegation that your use of the Service causes harm to third parties
  • Your violation of any agreement with third parties

We reserve the right to assume control of the defense of any indemnified claim at our sole expense, in which case you agree to cooperate fully. You may not settle any claim without our prior written consent. This indemnification obligation survives termination of these Terms.

Termination

Termination by You

You may terminate your account and these Terms at any time by:

  • Accessing your account settings and initiating account deletion through the platform interface
  • Submitting a written termination request to info@themon.ai
  • Providing written notice of termination via email to our registered address

Termination is effective upon our confirmation, though you remain liable for all accrued charges and fees through the end of the current billing period.

Termination by Us

We may terminate or suspend your access to the Service immediately and without prior notice if:

  • You materially breach these Terms or our Acceptable Use Policy
  • Your account presents active security risks, fraud, or illegal activity
  • Required by law, regulation, court order, or government request
  • You engage in abusive behavior toward our employees or other users
  • The Service is discontinued or your subscription plan is discontinued
  • You fail to pay subscription fees and remain delinquent after 15 days' written notice

We may also terminate for convenience with 30 days' written notice if permitted under applicable law.

Effects of Termination

Upon termination of these Terms or your account for any reason:

  • Your access to the Service ceases immediately
  • All licenses and permissions granted to you terminate
  • You remain liable for all charges, fees, and amounts accrued through the termination date
  • Sections regarding Intellectual Property, Limitation of Liability, Indemnification, and Governing Law survive termination
  • We may delete your User Content and account data after a grace period of 90 days, except where retention is required by law
  • Any payment obligations you have incurred remain in effect

Termination for your breach does not relieve you of payment obligations, and you may forfeit any prepaid fees or credits.

Governing Law and Dispute Resolution

Governing Law

These Terms are governed by and construed in accordance with the laws of England & Wales, United Kingdom, without regard to its conflict of laws principles or conflicts of law provisions. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

Dispute Resolution Procedure

Except for injunctive relief and intellectual property claims, all disputes, claims, or controversies arising from or relating to these Terms, your use of the Service, or our relationship shall be resolved through the following procedures:

  1. Informal Resolution and Negotiation (30 Days)

    • Either party with a dispute must provide written notice to the other party describing the nature, basis, and relief sought
    • Both parties shall negotiate in good faith for 30 days to attempt to resolve the dispute
    • Negotiations should involve senior management representatives with authority to settle
  2. Mediation (Optional, 30-60 Days)

    • If negotiations fail, either party may initiate non-binding mediation
    • Mediation shall be conducted by a mutually agreed mediator or through CEDR (Centre for Effective Dispute Resolution)
    • Costs shall be shared equally unless the mediator directs otherwise
    • Mediation shall be conducted confidentially and without prejudice to subsequent proceedings
  3. Litigation in Courts of England & Wales

    • If mediation does not resolve the dispute, either party may commence legal proceedings exclusively in the courts of England & Wales
    • Both parties irrevocably submit to the jurisdiction of these courts
    • Both parties waive any objections to venue or arguments that the courts are an inconvenient forum

Class Action Waiver

YOU AGREE THAT YOU WILL RESOLVE ANY DISPUTE WITH MONAI INDIVIDUALLY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS ACTION, COLLECTIVE ACTION, REPRESENTATIVE PROCEEDING, OR MASS ACTION. YOU EXPRESSLY WAIVE THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, OR REPRESENTATIVE CLAIM AGAINST MONAI LTD.

Equitable Relief

Notwithstanding the above dispute resolution procedures, either party may seek injunctive relief or other equitable remedies in a court of competent jurisdiction to prevent irreparable harm, intellectual property infringement, or enforce confidentiality obligations.

General Provisions

Entire Agreement

These Terms of Service, together with our Privacy Policy, Data Processing Agreement (if applicable), Acceptable Use Policy, and any other documents expressly incorporated by reference, constitute the entire, complete, and exclusive agreement between you and MonAI LTD regarding the Service and supersede all prior negotiations, representations, understandings, and agreements, whether written or oral.

Amendment and Modification

We reserve the right to modify these Terms at any time in our sole discretion. Material changes will be communicated via email, in-app notification, or by posting the revised Terms on our website with a notice of material changes. Your continued use of the Service after publication of modified Terms constitutes your acceptance of the modifications. If you do not agree with any modifications, you must cease using the Service and terminate your account. Non-material changes may be made without notice.

Severability

If any provision of these Terms is found to be invalid, unenforceable, or contrary to applicable law by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if such modification is not possible, the provision shall be severed. The remaining provisions shall continue in full force and effect to the maximum extent permitted by law.

Waiver

Our failure or delay in enforcing any provision, right, or remedy does not constitute a waiver of that provision, right, or remedy, nor does it prevent us from exercising such provision, right, or remedy at a later time. No waiver shall be effective unless in writing and signed by an authorized representative of MonAI LTD.

Assignment

You may not assign, delegate, or transfer your rights or obligations under these Terms without the prior written consent of MonAI LTD, except in connection with a merger or acquisition of your business. Any attempted assignment without consent is void. We may freely assign these Terms and our rights and obligations to our successors or acquirers without notice.

Force Majeure

Except for payment obligations, neither party is liable for delays or failures to perform arising from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, wars, terrorism, pandemics, government actions, internet or infrastructure failures, or other unforeseeable events. The affected party must provide notice and use reasonable efforts to mitigate the impact. Continued force majeure events for more than 90 days may permit either party to terminate these Terms.
